- Universal Billing Services, Inc. Services –You understand that UBS, Inc. emphasis is on approaches through the progress of healthcare seminars, tutoring, and workshops for healthcare professionals, workplace employees and Community individuals. MWC provides self-training through the materials found on MWC website you’re your own direction. Our services are designed with National Notary Association, American Medical Technologist, AAPC, and The American Heart Association’s guidelines in recommendation. At no time does UBS, Inc. represent any person in their certification needs – it is up to our client to choose freely in His/her own direction
- UBS, Inc. Reserves the Right –to change, modify, update, add or remove any portion of UBS, Inc.’s Terms of Use and Conditions, materials, etc. at any time without notification.

- Reminder– UBS, Inc. is not responsible for reminding you of your future re-certification or obligations relating to your certification requirements. However, we will reach out in our best efforts to contact you via email. On occasion, we will send Thank You, Holiday, etc… emails.
- Purchases Made by Your Agent/Representative –You agree and understand that if an employer, friend or agent acts on your behalf and purchases our service for you or your company, you are bound by all the terms of this agreement herein.

- General Disclaimer – Information or content provided by UBS, Inc. website or UBS, Inc. representatives is provided “as is” with no warranties either express or implied. By using the UBS, Inc. website or purchasing our services you assume complete responsibility and risk for your use and your actions following your use.
- Group Orders – Group orders do not have a time-limit – if the company chooses to set a time than a time-limit will be added. Group orders are non-refundable.
- Warranty and Indemnification –You represent and warrant that your use of UBS, Inc. website and the information, content and materials contained therein, as well as information or materials received from a UBS, Inc. representative will always comply with applicable laws, rules, regulations and this Agreement. By using UBS. Inc. website, you agree to indemnify, hold harmless, and defend Universal Billing Services, UBS, Inc., its subsidiaries, divisions, affiliates, officers, directors, employees, successors, agents, contractors, and representatives from any claims, damages, losses, liabilities, and all costs and expenses of defense, including but not limited to, attorneys’ fees, resulting directly or indirectly from a claim (including without limitation, claims made by third parties for infringement of intellectual property rights) by a third party that arises in connection with (i) your use or misuse of the UBS, Inc. website; (ii) a dispute with us; (iii) your breach of the Terms of Use and Conditions; or (iv) your violation of any law or the rights of a third party. You agree to cooperate as fully as reasonably required in the defense of any claim. UBS, Inc. reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you for which you will remain responsible for indemnifying and holding UBS, Inc. harmless.
- Revision of Terms of Use and Conditions –These Terms of Use and Conditions, UBS, Inc. services as provided on the UBS, Inc. website or by a UBS, Inc. Representative or employee may be revised or changed at any time. Any such revision or change will be binding and effective immediately upon posting any revision or change to the Terms of Use and Conditions or to service(s) provided on this website. You understand that it is your responsibility and you agree to review our website periodically to be aware of any such revisions.
- Termination of This Agreement – You understand and agree that we may terminate this Agreement, Use of this website for any reason and at any time upon notice. UBS, Inc. and its employees have sole discretion to refuse to provide services to you and are not liable to you for damages or loss that may result from our refusal to provide you services.
- Severability –If any portion of this agreement is found to be unenforceable or void by a court of law, then the provision that is found to be void or unenforceable shall be deemed severable from the remaining provisions of this Agreement. Furthermore, severability shall not affect the validity or enforceability of the remaining provisions of this Agreement.
- Choice of Law – These Terms of Use and Conditions will apply in any dispute of any sort that might arise between you and UBS, Inc, Universal Billing Services, Inc., or its subsidiaries, divisions, or affiliates shall be governed by and construed in accordance with the laws of the State of Florida. Any action brought to enforce this Agreement or matters related to UBS, Inc. Website or Universal Billing Services, will be brought in either the state or federal courts of Fort Lauderdale, Broward County, Florida; provided, however, that notwithstanding anything contained in these Terms of Use and Conditions to the contrary, we shall have the right to institute judicial proceedings against you or anyone acting by, through or under you, in order to enforce our rights hereunder through reformation of contract, specific performance, injunction or similar equitable relief. You consent to the jurisdiction of such courts and irrevocably waive any objection, including without limitation any objection to the laying of venue or based on the grounds of Choice of Law non-convince, which you may now or hereafter have to the bringing of any such action or proceeding in such jurisdiction. In addition, you expressly waive any right to a jury trial in any legal proceeding against UBS, Inc. Universal Billing Services, or its subsidiaries, divisions, or affiliates or their respective officers, directors, employees, agents, or successors under or related to these Terms of Use and Conditions. Any claim or cause of action you have with respect to use of UBS, Inc. website must be commenced within one (1) half-year after the claim arises.
